Terms of service
These terms apply to all services provided by Lyle Jamane t/a 4th Industrial Solutions ("4th Industrial Solutions", "we", "us") to you, the client. By accepting a quote or paying an invoice, you agree to these terms.
1. Who we are and what we do
4th Industrial Solutions is a sole proprietorship owned by Lyle Jamane, trading as 4th Industrial Solutions, with its head office in George, Western Cape. We serve clients in all 9 provinces, mainly remotely by WhatsApp, email and online document upload. 4th Industrial Solutions is not VAT registered.
We provide administrative help with business registrations and compliance filings. These include CIPC company registration and changes, annual returns and beneficial ownership filings; B-BBEE affidavits and arranging verification; SARS income tax, VAT, PAYE/SDL/UIF and eFiling registrations; UIF, COIDA, cidb and NHBRC registrations; Central Supplier Database and municipal supplier databases; and bank account opening documents. We also prepare business documents (company profiles, business plans, quote and invoice templates), build simple business websites (one-page and 5-page sites), set up .co.za domains, business email and Google Business Profiles, offer monthly website care, and prepare compliance packs, quotations (RFQs) and tenders. The exact scope of each job is set out in our written quote.
Websites, domains and email: the domain and hosting are registered in your name (or transferred to you on request) and paid at cost, either directly by you or passed on at cost with no mark-up. Hosting prices are set by the host and can change. You supply, and are responsible for, the text, logos, photos and prices on your site, and you confirm that you have the right to use them. We include a standard privacy-notice template, which is not legal advice. Once the site is paid in full, the site files are yours. Website care is month-to-month with one month's notice and covers up to 30 minutes of changes a month. Bigger changes, online shops, booking systems and custom web applications are quoted separately or not offered. We don't guarantee search rankings or Google Business Profile verification, which are Google's decisions.
Services we don't provide: tax returns or tax advice (these need a registered tax practitioner), audits, independent reviews or annual financial statements, legal opinions or legal drafting (including custom MOIs and shareholder agreements), commissioning of affidavits, issuing B-BBEE certificates (only accredited verification agencies can), and financial-product advice. Where you need these, we will refer you to an appropriate professional.
2. No guarantee of award
We do not and cannot guarantee that any quotation, bid or tender will be successful. Awards are made solely by the procuring organ of state according to its own evaluation criteria. Our fees are for the work we do and are not refundable because a bid was unsuccessful, cancelled or not awarded.
3. Your responsibilities
- You must give us complete, true and up-to-date information and documents, in good time before the deadline.
- You remain responsible for the accuracy and truthfulness of everything submitted in your name, and you sign all declarations yourself.
- You keep control of your own logins (CSD, SARS eFiling, bank, tender portals). You log in yourself; we never keep your passwords.
- You approve every price and every declaration, and you give us documents in time: at least 3 working days before closing for simple RFQs and 7 working days for formal RFQs and tenders.
- You are responsible for submitting your bid on time unless we have agreed in writing to deliver or upload it for you.
- You must not ask us to misrepresent your business, B-BBEE status or ownership. We will not take part in fronting, collusion, bid-rigging or any other unlawful practice, and we may end the engagement immediately if asked to.
4. Excluded categories
To avoid conflicts of interest, we do not act for clients who supply or bid in the medical, surgical, personal protective equipment (PPE), or cleaning and hygiene categories, and you confirm that you do not. We will not prepare bids for two clients competing for the same tender or RFQ, and we will tell you if a conflict comes up. We may decline any other job where a conflict of interest could arise.
5. Fees and payment
- Prices are as quoted in South African rand. 4th Industrial Solutions is not VAT registered, so no VAT is charged and the quoted price is the full price.
- Registrations, CIPC filings, the TCS PIN session, bundles and templates are paid in full upfront, together with any government fee.
- RFQs and tenders need a 50% deposit to start; the balance is due before we hand over the final submission pack.
- Payment is by EFT to the bank account on our invoice, or by card via our Yoco payment page (pay.yoco.com/tender-solutions) or another card payment link we send you. Put your name and the service in the payment reference. Work starts once payment (or the agreed deposit) reflects. A Pay now button on our website covers our fee only; government and third-party fees are paid separately at cost.
- Government and third-party fees (e.g. CIPC filing fees, the cidb admin fee, NHBRC fees, Compensation Fund assessments, B-BBEE verification agency fees, couriers or certification) are separate from our fee. They are shown separately on our price list and quote, and are paid at cost with no mark-up or paid by you directly. Government fees can change without notice.
- Company profiles and business plans need a 50% deposit to start; the balance is due on delivery of the final document.
- Websites need a 50% deposit to start; the balance is due before the site goes live. Website care is billed monthly in advance.
- The monthly retainer is paid in advance, with a 3-month minimum and one month's written notice to cancel after that.
- Design items are paid in full upfront. Logo design, catalogues/brochures, the brand starter kit and articles need a 50% deposit to start, with the balance due on delivery of the final files. Printing is quoted and paid at cost. Each design includes 2 rounds of changes, and further changes are charged at R350/hour. We hand over the final files once payment is complete. Logos are original work finished by hand, but we don't guarantee that a design can be registered as a trademark.
- AI Admin Assistant, Digital Marketing and Admin + Marketing system plans: the setup fee is paid upfront, and the monthly fee is paid in advance, month-to-month with one month's notice. Ad budgets are paid by you directly to the platform (e.g. Meta) and are never handled by us. The ad management fee covers our work only. We don't guarantee followers, leads, sales or rankings.
6. Deadlines and turnaround
Turnaround times on our website are estimates. They depend on receiving your documents and on the response times of SARS, banks, CIPC, National Treasury and municipalities, which we don't control. Work received close to a closing date is done on a best-effort basis.
7. Cancellations and refunds
If you cancel before we start, we refund your payment in full. Deposits are non-refundable once work has started, and completed work is not refundable. If we cannot complete the service for reasons within our control, we refund you for the uncompleted part. We may stop work immediately, without refund for work done, if we believe information is false or the process is being abused.
8. Limitation of liability
To the extent allowed by law, including the Consumer Protection Act where it applies, our total liability for any claim relating to a job is limited to the fee you paid for that job. We are not liable for lost profits, lost contracts or bids not awarded, or for losses caused by incorrect or late information from you or by third-party systems such as the CSD, eFiling or tender portals.
9. Confidentiality and privacy
We keep your documents and pricing confidential and use them only for your job. Personal information is handled under our POPIA privacy notice.
AI Admin Assistant (monthly plans): the service runs in accounts you own. You give us delegated access, never your password, and you can remove it at any time. We prepare drafts. Nothing is sent, accepted, signed or paid in your name without your approval, except replies from a reply library you have approved in writing. For this service we act as your operator under a written operator agreement (POPIA sections 20–21), and you remain the responsible party for your customers' information. The plans exclude bookkeeping, tax returns, legal advice and debt collection. They run month-to-month with one calendar month's notice. The monthly fee is payable in advance, and the setup fee is non-refundable once set-up has started.
10. Independence
We are an independent private service and are not affiliated with National Treasury, SARS, CIPC, the B-BBEE Commission or any municipality.
11. General
These terms are governed by the laws of the Republic of South Africa. If any part is found unenforceable, the rest still applies. Questions? Contact Lyle Jamane on 065 768 6548 or info@4irsolutions.co.za.
